
Impact Investment and Private Equity
The Firm has advised multiple Investment Banks, International Microfinance Institutions and Impact Investment Funds across Europe and the USA with respect to foreign currency loans granted to microfinance institutions and Section 42 Companies in Pakistan. We advise on the entire process of vetting the Loan Documentation in line with the Forex regulations and jurisdictional issues in Pakistan, as well as liaising with the State Bank and Authorized Dealers in Pakistan involved in registering and approvals of the loan under local law.
The Firm has recently been appointed as the legal adviser of a leading Impact Investment Advisory Fund based in Liechtenstein, with a global footprint in Africa, Central Asia, East Asia and Latin America. The Firm advises the Fund on a variety of different disciplines, including foreign currency loans to local microfinance borrowers, shareholder arrangements, quasi-equity agreements and multiple debt agreements.
The Firm has also advised one of the biggest global investment funds in Europe of the acquisition of the minority stake of a listed Company in Pakistan in the insurance sector. The Firm undertook the entire process of the acquisition commencing from the legal due diligence process of the Target Company, to drafting the acquisition documentation and advising the Fund on the foreign exchange as well as regulatory requirements pertaining to the transaction.
